Queensway Computer Market (QCM) is a multi trader venue.  Whilst QCM attempts to monitor content published by individuals and traders on the site for appropriateness, it does not accept any responsibility for the traders publications on this site.  QCM is in not associated with any of the traders at the venue and reminds all visitors that any consumer rights relate solely with the trader who they have completed a transaction with and not QCM.

All traders are required to abide by the following:

STANDARD TERMS OF CONCESSIONARY LICENCE

[NOTE: 1.  When engrossing a document   THERE IS A PAGE BREAK after "Ref", but before the Section Break so that This Cover will print as a separate Sheet.

NOTE 2: The REFERENCE will be auto-inserted at PRINT TIME

THESE STANDARD TERMS OF LICENCE ARE INCORPORATED BY CONSENT AND WRITTEN AGREEMENT INTO ALL CONCESSIONARY LICENCES ISSUED BY QUEENSWAY COMPUTER MARKET LIMITED TO ALL TRADERS OCCUPYING SPACE UNDER LICENCE AT QUEENSWAY COMPUTER MARKET

WHEREAS:

(1)       Queensway Computer Market (‘QCM’) is a Tenant and entitled to occupy the premises (hereinafter called "the Premises") defined by it’s Landlord HAPPYBADGE PROJECTS LIMITED of 155 QUEENS COURT, QUEENSWAY, LONDON W2 4QP;

(2)             QCM is entitled to licence space within the premises on the Landlords written terms of licence and The Trader (whether and individual(s) or a corporation) has requested QCM to grant a Licence to use space in part of the Premises for the purpose of trading in the goods and services hereinafter mentioned;

NOW IT IS AGREED as follows:

(3)            QCM grants the Trader permission to use a space defined by Bay Number and / or Table Number (hereinafter called "the Stand") in such part of the Premises as QCM shall from time to time designate and described more accurately within the Trader’s Registration and Summary Agreement (hereinafter called “the Summary Agreement”)

(4)          The licence shall commence from the commencement date in the Summary Agreement and shall continue until determined by either party and can be terminated by giving in writing to the other FOUR WEEKS’ notice of termination PROVIDED ALWAYS that QCM may by notice to the Trader in writing terminate this Licence forthwith in the event of any contravention by the Trader of the terms of this Licence or in the event of any objection being raised to the Trader or the grant of this Licence by the Landlord of QCM or by any local or Governmental Authority;

(5)           The Trader shall not impede in anyway the officers servants or agents of QCM or the Landlord in the exercise by them of their rights of possession and control of the Stand and in particular shall give all reasonable assistance and facilities to such officers servants or agents for the alteration at any time of the layout or decorations of the Stand;

(6)           During the operation of this Licence the Trader shall have access by the normal entrances passages and stairs (if any) of the Premises to the Stand for himself and his duly authorised servants agents or customers such access to be during normal business hours only;

(7)                 This Licence shall be personal to the Trader and shall not be assigned by him to another party;

(8)                 Any occupation of the Stand by the Trader shall be as licensee and not as tenant

(9)                 In consideration of the licence granted by QCM the Trader agrees without prejudice to the generality of any other terms of this Licence

(10)        To pay QCM until the determination or termination of the Licence to use the Stand the licence fee agreed in the Summary Agreement and payable as directed by QCM (hereinafter called "the Rent")  

(11)             To pay QCM in addition to the licence fee referred to herein any value added tax, which QCM is required by law to collect from the Trader

(12)             That the Licence shall be personal to the Trader who shall in no way be a tenant of QCM 

(13)            To keep the Stand properly stocked and regularly opened during normal business hours and properly attended to and to use best endeavours to make the Stand attractive for the display and sale of such good quality merchandise and goods as are authorised to be displayed and sold under this Licence

(14)            To use the Stand for the sole purpose of displaying and selling computers and computer related equipment (either brand new or second hand) and not to sell display or expose for any sale any goods or articles of any other description and in particular not to use the Stand for any illegal or immoral purpose or in any illegal or immoral manner including the actual or attempted display or sale of stolen property, whether actually stolen  or merely suspected, such action operating to terminate the licence forthwith.  

(15)             To keep the Stand clean together with any public area that is within 1 metre of the Stand  

(16)            To ensure that both security shutters permitting entry and exit to the premises remain open at all times when the premises are open to the public or when members of the public are present

(17)             To observe and conform to all the rules and regulations from time to time made by QCM or any other competent person or authority for the management of the Premises 

(18)             In all respects to trade from the Stand as if the Trader were a part of the business of QCM and in particular not without the consent of QCM to display any separate trading name or sign unless it contains the Traders trading name and if applicable registered office (or principal address of trading) VAT registration number and all contact details in conformance with the rules set out by local Trading Standards Authority or Council 

(19)            To ensure that Trader or one of its servants or employees is in attendance at the Stand at all times during normal working hours but that upon being required in writing so to do by QCM to cease to employ upon the Stand any servant of the Trader who shall be guilty of any conduct which in the opinion of QCM or the Landlord is prejudicial to the proper management of the Premises or the interest of QCM or who shall fail to observe any of the said rules and regulations

(20)             Not to bring or permit or suffer to be delivered onto the Stand or the Premises any article or goods for the purpose of its business except at such times and through such entrances as may be appointed by QCM 

(21)          To keep the Stand in a clean and tidy condition and whenever it shall be moved to a new position and also on removal to clean the Stand and repair any damage occasioned during occupation 

(22)             On the termination or determination of this Licence forthwith to remove all property and goods from the Stand and the Premises 

(23)        On the conclusion of each trading occasion to remove all rubbish belonging to the Trader and / or it’s customers, servants or agents or in default to re-imburse QCM for the reasonable cost of removal

(24)             Not to make or permit to be made any alterations or additions to the Stand (including any structural or electrical work or any temporary changing room if so required by the Trader) except with the permission of QCM and not to damage or deface the Stand or any of the property of QCM or the Landlord in the Premises 

(25)             Not to place or allow to be placed any goods or articles beyond the boundary of the Stand or above a level (as defined by QCM) or to obstruct the passages of the Premises 

(26)             Any trellis work grill or other device provided by the Trader for the protection of his goods (if applicable) shall be of a standard roll down type or in a form approved by QCM which can be stored within the limits of the Stand without prejudice to the good appearance of the Premises when not in use 

(27)             Not to seek to attract attention or custom by shouting undue noise or music of a nature which may cause a nuisance to other stand holders or to customers in the Premises  or so as to be audible in any other part of the building of which the Premises form part or to use abusive or unseemly language or conduct and to extend normal courtesy to members of the public and other stand holders and representatives of QCM

(28)             Not to sell or offer for sale any goods by auction or by mock auction 

(29)             Not to remove or interfere (and to procure that any person acting for him or on his behalf does not remove or interfere) with the structures or parts of any other stand or of any part of the Premises outside the limit of the Stand 

(30)             Not to cause any damage to the Premises or to interfere with any person lawfully in the Premises and the Trader shall indemnify QCM and/or the Landlord against any claims demands costs and expenses incurred in connection with any damage or interference and against any claim which may be made against either of them by statute or otherwise arising wholly or in part from or of any act or omission by the Trader or his servants or agents 

(31)             Not to make any complaint with regard to the regulation of the Premises otherwise than in writing to QCM and delivered to its offices

(32)             To accept full responsibility for the safety of or loss or damage to the goods of the Trader in the Premises or on them and from any cause whatsoever and to indemnify QCM in relation to any such liability 

(33)             On the termination or determination of this Licence for any reason whatsoever not to seek or accept any premium from any other person nor sell to any ongoing Trader any fixtures and fittings; any fixtures and fittings left on the Premises after the termination of this Licence shall become the property of QCM 

(34)             In the case of the Trader being more than one person firm or company that each and all of them shall be bound by these terms and shall be jointly and severally liable in respect of any valid claim of QCM against the Trader 

(35)             That if this document shall be signed other than by all those who comprise the Trader the person who signs warrants to QCM for due authority to bind the Trader jointly and severally 

(36)             (If the Trader shall be a limited company) to obtain the guarantee of all (or any lesser number as may be acceptable to QCM) of the directors of the company jointly and severally for all obligations of the Trader 

(37)             Not to use any freestanding units or rails which shall exceed five feet in height. 

(38)             To wear (and to procure that any staff or employees similarly wear) neat and tidy dress and shall comply with all reasonable requirements of QCM or the Landlord

PROVISOS: 

(39)             QCM shall provide reasonable and adequate heating and lighting for the Stand PROVIDED ALWAYS and

IT IS AGREED as follows: 

(40)             QCM shall have the right at any time to change the location of the Stand but shall give the Trader not less than 24 (twenty four) hours' notice in writing of his intention so to do specifying the location of the new space to be occupied 

(41)             The Trader shall if so requested by QCM on the signing of this document pay to QCM in addition to the sum specified as the Rent a sum payable immediately to be held as a deposit to secure that the Trader duly performs and observes its obligations under this License and on Notice of Termination of this Licence the deduction of any such sum which may be due to QCM under the provisions of this document and the balance shall be applied to no more than the last 4 weeks’ rent

(42)             The Trader shall at no time have exclusive possession or occupation of the Stand or any part of the Premises in which it is situated and QCM shall at all times have the right to use this and all or any part of the Premises for its own use and occupation or for the use and occupation of any third party and the Trader shall not raise any objection to the exercise by QCM of its rights contained in this section of PROVISOS and other conditions set out elsewhere in this Licence

(43)             QCM shall not be responsible for any loss or damage suffered by the Trader as a result of burglary fire or any other cause whatsoever and the Trader shall effect such insurance of his property as he may consider to be expedient but he shall not without the prior written consent of QCM effect any fire insurance covering the Premises 

(44)             QCM shall at all times retain legal possession of the Premises and the Stand and shall in no way be impeded by the Trader or its servants or employees in the exercise of these rights 

(45)             Each trader’s trading area or space (STAND) is identified on the attached map. Any discrepancy between the map and the physical area will be resolved by QCM whose decision is final and will be recorded in writing in the traders file held by QCM 

(46)             In the event of the Trader failing to pay the Rent (whether demanded or not) the Trader hereby appoints QCM as the Trader's agent to seize and sell any of the Trader's goods situated on the Premises and to apply the proceeds of such sale towards the reduction of any sums owing by the Trader to QCM

(47)             This licence shall terminate forthwith if the Trader is found to be trading or suspected of trading in merchandise of whatsoever description which may be or is actually stolen or which infringes the Intellectual Property Rights of another person or entity 

(48)             Any unpaid Rent shall at no times exceed the Deposit held by QCM and if unpaid rent does exceed the deposit then this shall not constitute a waiver of the right of QCM to enforce this clause and QCM may at its absolute discretion terminate the Licence forthwith.

(49)             The existing agreement (if any) between QCM and the Trader relating to the Stand is hereby cancelled without prejudice to the rights and remedies of either party against the other in respect of any antecedent claim or breach of contract and is superseded and replaced by this Licence and Summary Agreement.
